1. Data Controller

2. Data We Collect

We collect only the minimum data necessary to fulfill our contractual obligations:

• Contact information (name, email address) submitted via our contact form.
• Communication records related to project inquiries and service delivery.

3. Legal Basis for Processing

1. Acceptance of Terms

By engaging the services of PixelFormLab, registered at 437033, Nr. 178, Stret, Jud. Maramures, Romania, you agree to be bound by these Terms of Service. If you do not agree, do not use our services. These terms apply to all clients, website visitors, and users of our services.

2. Scope of Services

PixelFormLab provides UI/UX design, product design, and related digital services as described on our website and in individual project proposals. Each project engagement is governed by a specific Statement of Work (SOW) or proposal that forms part of these Terms.

3. Project Engagement Process

• Discovery Phase: Initial consultation to define project scope, deliverables, timeline, and pricing.
• Proposal & Agreement: Written proposal with fixed pricing, milestone schedule, and scope boundaries.
• Execution: Service delivery according to agreed milestones with regular progress updates.
• Delivery & Review: Final deliverables submitted for client review and acceptance.

4. Pricing & Payment

All pricing is fixed and stated in USD unless otherwise agreed in writing. Payment terms:

• 50% deposit required before project commencement.
• Remaining 50% due upon final delivery and acceptance.
• Invoices are payable within 14 days of issuance.
• Late payments incur a 2% monthly interest charge.
• All prices are exclusive of applicable taxes (VAT), which will be charged separately where required by law.

5. Intellectual Property

Upon full payment, all intellectual property rights for the final delivered work products transfer to the client. PixelFormLab retains the right to display completed work in portfolios, case studies, and marketing materials unless explicitly restricted in writing within the project SOW. Pre-existing frameworks, tools, and methodologies remain the property of PixelFormLab.

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives the termination of the agreement for a period of 24 months. Confidential information shall not be disclosed to third parties without prior written consent.

7. Limitation of Liability

PixelFormLab's total liability shall not exceed the total fees paid by the client for the specific project giving rise to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages. We are not responsible for losses resulting from client-provided data, third-party service failures, or force majeure events.

8. Termination

Either party may terminate the agreement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Work in progress deliverables will be provided proportionally based on milestone completion.

9. Governing Law

These Terms are governed by the laws of Romania and the European Union. Any disputes shall be resolved through the competent courts of Cluj-Napoca, Romania, or through alternative dispute resolution as mutually agreed.

10. Amendments

PixelFormLab reserves the right to update these Terms at any time. Material changes will be communicated to active clients via email. Continued engagement after notification constitutes acceptance of revised terms.

PixelFormLab is committed to delivering high-quality UI/UX design services. We understand that circumstances may require cancellation or refund requests. This policy outlines the conditions under which refunds are provided.

2. Cancellation Before Project Start

If a project is cancelled before any work has commenced, the full deposit will be refunded within 14 business days. This applies to cancellations made within 7 days of deposit payment.

3. Cancellation During Active Project

If a project is cancelled after work has commenced:

• Completed milestone deliverables will be provided to the client.
• The deposit is non-refundable to the extent it covers work already completed.
• Any work beyond the deposit amount that has been completed is invoiced at the agreed rate.
• Remaining deposits for uncompleted milestones will be refunded within 14 business days.

4. Delivered Work Dissatisfaction

If you are dissatisfied with delivered work:

• Written feedback must be provided within 7 days of delivery.
• PixelFormLab will provide reasonable revisions to address valid concerns within the original scope.
• If the deliverable cannot be corrected to meet the agreed scope, a proportional refund will be evaluated on a case-by-case basis.

5. Non-Refundable Items

• Work completed and accepted by the client in writing.
• Third-party costs incurred on behalf of the client (stock assets, software licenses, hosting fees).
• Services rendered under separate agreements or Statements of Work with different refund terms.

6. Refund Process

To request a refund, contact [email protected] with your project reference, reason for the request, and relevant documentation. Refunds are processed within 14 business days via the original payment method.

7. Dispute Resolution

Refund disputes will be handled through direct negotiation. If unresolved, both parties agree to submit to mediation before pursuing any legal remedies. This policy is governed by Romanian consumer protection laws and applicable EU directives.
